Terms of Service

1. Introduction

Welcome to Agent-Shield. These Terms of Service ("Terms") govern your access to and use of Agent-Shield's services, including our website, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

3. Age Requirement

You must be at least 13 years old to use Agent-Shield. If you are under 18, you must have permission from your parent or legal guardian to use the Service. By using the Service, you represent that you meet these age requirements.

4. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

5. Service Tiers and Limitations

Free Tier

  • 1 security audit per month
  • Limited to PII Detection and Injection Testing modules
  • 5 injection test payloads per audit
  • No PDF report generation
  • Audit results retained for 30 days
  • Standard support

Pro Tier ($99/month)

  • 5 security audits per month
  • All 5 audit modules (PII, Data Flow, Compliance, Injection, Permission)
  • 20 injection test payloads per audit
  • PDF report generation and export
  • Audit results retained for 1 year
  • Priority support

Enterprise Tier ($499/month)

  • Unlimited security audits
  • All 5 audit modules with full 62-test injection library
  • PDF report generation and export
  • Custom data retention periods
  • Dedicated support and custom SLAs
  • Custom Data Processing Agreement (DPA)

One-Time Audit ($299)

  • 1 comprehensive security audit
  • All 5 audit modules
  • 30 injection test payloads
  • PDF report generation and export
  • Audit results retained for 90 days

Usage limits reset at the beginning of each calendar month. Exceeding these limits will result in service interruption until the next billing period or upgrade to a paid plan. Pricing is subject to change with 30 days' notice.

6. Billing and Subscriptions

Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. We do not store your full credit card details on our servers.

Subscription Billing

Paid subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your billing settings or by contacting support.

Refunds

Monthly subscriptions are non-refundable once the billing period has started. One-time audit purchases are non-refundable once the audit has been initiated. If you experience a service issue, contact support@agent-shield.com and we will work to resolve it.

Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following at least 30 days' notice via email.

7. Authorized Security Testing

The Service performs security testing on AI agent endpoints that you provide. By using the Service, you represent and warrant that:

  • You own or have explicit written authorization to test the agent endpoint(s) you submit for audit
  • You have the authority to authorize security testing, including injection testing and permission escalation testing, against the submitted endpoints
  • The security testing will not violate any agreements you have with third parties (e.g., hosting providers, API providers, or cloud service agreements)
  • You will not use the Service to test endpoints you do not own or have authorization to test
  • You accept full responsibility for any consequences arising from security testing of your endpoints

Agent-Shield acts solely as a tool executing security tests at your direction. We do not independently verify your authorization to test any given endpoint. Unauthorized security testing may violate applicable laws including the Computer Fraud and Abuse Act (CFAA).

8. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Test endpoints or systems you are not authorized to test
  • Send spam or unsolicited communications
  • Abuse, harass, threaten, or intimidate others
  • Distribute malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use audit findings or test payloads to exploit vulnerabilities in systems you do not own
  • Circumvent any usage limits or restrictions
  • Resell or redistribute the Service without written permission
  • Use the Service for any illegal or unauthorized purpose

9. API Keys and Security

You are responsible for:

  • Keeping your API keys confidential and secure
  • Not sharing API keys with unauthorized parties
  • Revoking API keys immediately if compromised
  • All activity that occurs using your API keys

Agent-Shield is not liable for any losses resulting from unauthorized use of your API keys.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Data Ownership

Your Data

You retain all ownership rights to the data you submit to the Service, including agent endpoint URLs, agent configurations, and any proprietary information about your AI agents. We do not claim ownership of your data.

Audit Results

Audit results, vulnerability findings, scores, and generated reports are owned by you. You may use, share, or publish your audit results at your discretion. However, the underlying audit methodology, test payloads, scoring algorithms, and analysis frameworks remain the intellectual property of Agent-Shield.

Aggregated Data

We may use anonymized and aggregated data derived from the Service (that cannot identify you or your agents) for purposes such as improving the Service, generating industry benchmarks, and publishing research. This aggregated data will never include personally identifiable information or data that could identify your specific agents or endpoints.

12. Intellectual Property

The Service and its original content, features, and functionality are owned by Agent-Shield and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data, content, or materials you submit to the Service ("Your Content"). By submitting Your Content, you grant Agent-Shield a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely to provide the Service to you.

13. Security Audit Disclaimer

The security audits provided by Agent-Shield are automated assessments designed to identify common vulnerabilities in AI agents. You acknowledge and agree that:

  • Audit results are informational and do not constitute a guarantee of security or compliance
  • A passing audit score does not mean your agent is free from all vulnerabilities
  • Audit coverage is limited to the test categories and payloads included in your tier
  • AI-powered analysis may produce false positives or false negatives
  • Audit results should be reviewed by qualified security professionals before making compliance or deployment decisions
  • Agent-Shield is not liable for any security incidents that occur despite a passing audit
  • Compliance mappings (SOC 2, HIPAA, GDPR, EU AI Act) are guidance only and do not constitute legal advice or certification

For critical deployments, we recommend combining Agent-Shield audits with manual penetration testing and professional security review.

14. Account Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:

  • Violates these Terms or our Acceptable Use Policy
  • Harms Agent-Shield, other users, or third parties
  • Involves fraudulent, illegal, or abusive activity
  • Involves testing endpoints without proper authorization
  • Exceeds reasonable use or creates security risks

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. Upon termination, your right to use the Service will immediately cease. Active subscriptions will not be refunded for the current billing period.

15. Disclaimers and Limitations of Liability

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGENT-SHIELD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT-SHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (D) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE; (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT; OR (F) ANY SECURITY INCIDENTS THAT OCCUR DESPITE AUDIT RESULTS INDICATING COMPLIANCE OR PASSING SCORES.

Liability Cap

IN NO EVENT SHALL AGENT-SHIELD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO AGENT-SHIELD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

16. Indemnification

You agree to indemnify, defend, and hold harmless Agent-Shield, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) unauthorized security testing conducted using the Service.

17. Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@agent-shield.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within 30 days of receiving your notice.

Binding Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Florida. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

18. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Florida.

21. Accessibility

Agent-Shield strives to ensure digital accessibility for people with disabilities. We are continually improving the user experience for everyone and applying the relevant accessibility standards.

We endeavor to conform to Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. These guidelines explain how to make web content more accessible for people with disabilities and more user-friendly for everyone.

Limitation: While we make reasonable efforts to maintain accessibility standards, we do not warrant that this application will meet all accessibility requirements under the Americans with Disabilities Act (ADA), Section 508, or any other applicable accessibility laws. Developer shall not be liable for any claims arising from accessibility deficiencies except where caused by gross negligence.
